Compounds offered for sale by Candor Chemicals are provided solely as chemicals for use in research and development per 40 CFR § 700-799 (Toxic Substances Control Act). These compounds, as well as any other compounds sold by our Company, are only intended for use by or under the supervision of a “technically qualified individual”, per the definition of 40 CFR § 720.3 and requirements of 40 CFR § 721.47.

By purchasing any product from our website, the Purchaser certifies that they themselves are a “technically qualified individual” or are purchasing on behalf of a “technically qualified individual” per the definition of 40 CFR § 720.3 (ee), and are at least 21 years of age. The purchaser also acknowledges that the full extent and nature of these risks may be unknown or not fully understood for most of our products. The Purchaser certifies that they intend to handle such products with reasonable care and to adhere to reasonable safety protocols during any application which involves the use of our products.

The Purchaser also certifies that they have done their due diligence to inform themselves on the following with regard to products purchased from our website:

•       Known or likely health and environmental hazards associated with any exposure to or application of the product
•       Necessary industrial hygiene controls
•       Requirements related to providing safety information about our products to any third party, including but not limited to downstream employees, peers, co-workers, other companies, researchers or any other such person who may be exposed to our products in any application or setting wherein products purchased from Candor Chemicals will be used
•       Local, state or federal regulations which may govern the product or its use in the Purchaser’s specific applications

5. Safety Data Sheets (SDS)

Candor Chemicals will provide the SDS for any compound purchased from our website in the order summary that is received by the Purchaser by email upon checkout. Candor Chemicals will also provide Safety Data Sheets (SDS) for products in our inventory upon a request sent by email to [email protected].

Our Company makes a continuous effort to provide the most complete and up-to-date information regarding the hazards associated with our products, but information regarding hazards for some products may be very limited as a result of their novelty or the lack of relevant investigation into such hazards. Candor Chemicals LLC cannot and does not guarantee the completeness or accuracy of the safety- and hazard-related information provided in the SDS documentation or that is present on our product pages.

6. Limitation of Liability

Liability assumed by Candor Chemicals LLC shall be limited solely to the replacement of products which are found to be defective, unsatisfactory with regard to the product specifications which we expressly guarantee, or incorrectly provided, and the refund of the purchase amount or replacement of said products to the Purchaser, at the Company’s sole discretion. Instances where the Purchaser wishes for any reason to return products purchased from Candor Chemicals to our Company will be handled on a case-by-case basis. •       That our products are intended for sale only to qualified researchers engaged in active scientific research, whether in an independent or organized setting, and that they, the Purchaser, are themselves actively engaged in research in such a setting or are acting in the capacity of a purchasing agent on behalf of an individual that is actively engaged in such a setting.
•       That products purchased from our Company are not intended for resale for any application or to any individual which would be prohibited under these terms, and that the Purchaser is solely responsible for ensuring that any products purchased from our Company that the Purchaser provides to any third party will not be employed in such applications or subsequently provided to any individual which intends to use our products in such applications.
•       That they, the Purchaser, possess the necessary equipment, training and experience to safely use, handle, store, transport and dispose of all products purchased from our Company, and that they are solely responsible for ensuring the safe use, handling, storage, transportation and disposal by any third party of any product purchased from our Company that they possess.
•       That the information they, the Purchaser, provide to the Company in the process of account approval (in the case that such approval is sought) is true, accurate and up-to-date.
•       That any failure by the Purchaser to uphold the obligations established by these terms, or any reasonable and reliable communication or information received by our Company indicative of such a failure or an intent to violate these terms, may result in an immediate termination of service and refusal or limitation of further business with the Purchaser.
•       That they, the Purchaser, shall hold harmless and indemnify the Company in the event of any damages, losses, harm or inconvenience caused either directly or indirectly by the intentional or accidental violation of any provision of these terms, or by the improper handling, transportation, use, storage or disposal of our products.

7. Compliance with Laws and Regulations

The Purchaser acknowledges that they are solely responsible for ensuring that products purchased are approved for use in their intended application under relevant laws and regulations, including but not limited to 40 CFR § 700-799, and all other relevant laws if and as applicable, and certifies that they have performed the necessary due diligence to ensure they are aware of all such laws and regulations. The Purchaser further acknowledges that they are solely responsible for ensuring that their purchase or use of any product from our Company is conducted in compliance with all applicable laws regarding the possession, transport, purchase or use in any application in any relevant local, regional or federal jurisdiction, regardless of the country in which the Purchaser resides or receives the product.

8. Legal Jurisdiction and Dispute Resolution

Any disputes will be settled in Delaware, and the Purchaser agrees to pay all related legal expenses. Including but not limited to Candor Chemical LLCs legal defense and all costs associated with the lawsuit.

Our Quality Control practices are detailed more extensively on our Quality Control page. Results of assays are provided for each compound on a per-batch basis. The purity listed on our product pages is a minimum specification; actual purity values may be equal to or slightly higher than this specification, and purity levels may vary slightly between batches. Candor Chemicals employs third-party analytical laboratory services to conduct analytical testing of its products. We take great care in the consideration of these results and the companies we use for testing, but it should be understood that analytical test results provided from third party companies do not in any circumstance constitute a warranty by our Company of specific product quality, nor do we guarantee the accuracy of these results.
